    Host Agreement

    This Host Agreement ("Agreement") governs your use of Zelo as an event host. By creating an event, you agree to the following terms in addition to our Terms of Service.


    1. Host Eligibility


    To receive gifts through Zelo, you must:

  1. Be at least 18 years old (or the age of majority in your jurisdiction)
  2. Have the legal capacity to receive funds in your jurisdiction
  3. Complete identity verification through our payment processing partner
  4. Provide accurate personal, identity, and banking information
  5. Not be a resident of a country subject to international sanctions
  6. Not be on any government sanctions or prohibited persons list

  7. 2. Payment Processing


    2.1 Connected Account

    By using Zelo to receive funds, you agree to create a payment account with our licensed payment processing partner and accept their terms and conditions, services agreement, and privacy policy.


    Your relationship with our payment partner is governed directly by their terms. Zelo acts as a platform, facilitating the connection between you and our payment partner.


    2.2 Identity Verification (KYC/AML)

  8. You must complete identity verification (Know Your Customer) process through our payment partner
  9. This may include providing government-issued ID, proof of address, and other documentation
  10. Verification is required to comply with anti-money laundering (AML) regulations
  11. Incomplete or failed verification may result in delayed or restricted payouts
  12. Requirements may vary by country and transaction volume

  13. 2.3 Payout Schedule

  14. Payouts are processed according to our payment partner's standard schedule for your country
  15. Initial payouts may be subject to a holding period (typically 7-14 days for new accounts)
  16. After verification, payouts typically arrive in 2-7 business days depending on your country
  17. Payout timing and availability varies by country and bank

  18. 2.4 Platform Fees

  19. Zelo charges a platform service fee on each gift received
  20. **Current fee: 4% of each gift amount**
  21. Payment processing fees are separate and additional (varies by country/method)
  22. Fees are deducted before funds are transferred to your payment account
  23. Fee structure may change with 30 days advance written notice

  24. 2.5 Currency

  25. Gifts may be received in different currencies
  26. Currency conversion fees may apply per our payment partner's policies
  27. Cross-border transfer fees are governed by our payment partner's policies

  28. 3. Tax Responsibilities


    3.1 Your Tax Obligations

    YOU ARE SOLELY RESPONSIBLE FOR:

  29. Determining your tax obligations related to gifts received
  30. Reporting income or gifts to relevant tax authorities as required by law
  31. Paying any taxes owed on funds received through the platform
  32. Maintaining records of all transactions for tax purposes
  33. Consulting with qualified tax professionals

  34. 3.2 No Tax Advice

    Zelo DOES NOT:

  35. Provide tax, legal, or financial advice
  36. Withhold taxes on your behalf
  37. Guarantee any particular tax treatment of funds received
  38. Represent that gifts are tax-exempt in your jurisdiction

  39. 3.3 Tax Information Reporting

  40. Zelo and/or our payment partner may be required to report certain information to tax authorities
  41. In the United States, our payment partner may issue Form 1099-K if you meet IRS thresholds
  42. Similar reporting requirements may apply in the EU, UK, Canada, Australia, and other jurisdictions
  43. You are responsible for understanding and complying with all applicable tax reporting requirements

  44. 3.4 General Tax Information (Not Advice)

    Tax treatment of gifts varies significantly by jurisdiction. For example:

  45. In many jurisdictions, recipients of personal gifts may not owe income tax on gifts received
  46. Gift givers may have separate reporting or gift tax obligations
  47. Business or commercial use may have different tax implications
  48. **Always consult a qualified tax professional for your specific situation**

  49. 4. Nature of Transactions


    4.1 Personal Gifts Only

    Funds received through Zelo are intended to be:

  50. Voluntary personal gifts between individuals
  51. Transfers with no expectation of goods, services, or financial return
  52. Associated with personal celebrations and life events

  53. 4.2 Prohibited Uses

    The platform must NOT be used for:

  54. Charitable donations or fundraising (use licensed charitable platforms)
  55. Crowdfunding or investment solicitation
  56. Securities offerings or financial products
  57. Commercial transactions or sales of goods/services
  58. Money transmission, remittances, or payment services
  59. Political contributions
  60. Any illegal purpose

  61. 5. Prohibited Activities


    As a Host, you MUST NOT:

  62. Create events for crowdfunding, charity, or commercial purposes
  63. Use the platform for investment or securities offerings
  64. Create fraudulent, misleading, or fake events
  65. Engage in money laundering, terrorist financing, or illegal activities
  66. Misrepresent the nature or purpose of your event
  67. Create events that violate laws in your jurisdiction or guests' jurisdictions
  68. Use the platform to evade taxes or financial regulations
  69. Solicit gifts in exchange for goods, services, or other consideration
  70. Violate any applicable laws, regulations, or third-party rights

  71. 6. Anti-Money Laundering (AML) Compliance


    6.1 Your Representations

    By using the platform, you represent and warrant that:

  72. You are not on any government sanctions list or prohibited persons list
  73. The funds you receive are not proceeds of illegal activity
  74. You will not use the platform to launder money or finance illegal activities
  75. You will cooperate with any investigations related to your account
  76. You will promptly report any suspicious activity to us

  77. 6.2 Monitoring and Reporting

  78. Zelo and our payment partner monitor transactions for suspicious activity
  79. We may report suspicious activity to relevant authorities as required by law
  80. We may request additional information about transactions or your identity
  81. We may delay, suspend, or refuse transactions or payouts if we suspect illegal activity

  82. 7. Event Content & Conduct


    7.1 Your Responsibility

    You are solely responsible for:

  83. All content posted in connection with your event
  84. Ensuring content is accurate, truthful, and not misleading
  85. Complying with our Acceptable Use Policy
  86. Not infringing on third-party intellectual property rights
  87. Complying with all applicable laws and regulations

  88. 7.2 Platform Rights

    Zelo reserves the right to:

  89. Remove content that violates our policies
  90. Suspend or terminate accounts for policy violations
  91. Report illegal activity to authorities
  92. Modify, suspend, or discontinue the service at any time

  93. 8. Refunds, Disputes & Chargebacks


    8.1 Refund Policy

  94. Gifts are generally non-refundable once transferred to your account
  95. Refunds may be required in cases of fraud, unauthorized transactions, or chargebacks
  96. You may be required to return funds if a dispute is resolved against you

  98. 8.2 Chargebacks

  99. If a gift giver disputes a charge, funds may be debited from your payment account
  100. Excessive chargebacks may result in account suspension or termination
  101. You agree to cooperate in chargeback investigations
  102. You are responsible for chargeback fees imposed by our payment partner (typically $15-25 per dispute)

  103. 8.3 Reserve Funds

  104. Our payment partner and/or Zelo may hold a reserve of funds to cover potential disputes or chargebacks
  105. Reserve amounts and duration are determined based on risk assessment

  106. 8.4 Dispute Resolution

  107. Disputes between you and gift givers should be resolved directly
  108. Zelo is not responsible for disputes between hosts and guests
  109. We may provide transaction records upon request to assist resolution

  110. 9. Account Suspension & Termination


    9.1 Grounds for Suspension

    We may suspend your account and hold funds if:

  111. We suspect fraud, money laundering, or illegal activity
  112. You violate this Agreement or our policies
  113. Required by law, regulation, or our payment partner
  114. We receive excessive disputes or chargebacks
  115. Your identity verification is incomplete or fails
  116. You are unresponsive to requests for information

  117. 9.2 Termination

  118. Either party may terminate this Agreement at any time
  119. Upon termination, you may withdraw available funds after any applicable holding period
  120. We may retain funds for up to 180 days to cover potential disputes, chargebacks, or legal claims
  121. Termination does not release you from obligations incurred before termination

  122. 10. Limitation of Liability


    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  123. Zelo is provided "AS IS" without warranties of any kind
  124. We disclaim all implied warranties including merchantability and fitness for purpose
  125. We are not liable for payment processing delays, our payment partner's actions, or third-party services
  126. We are not liable for any tax consequences of receiving funds
  127. We are not liable for indirect, incidental, special, consequential, or punitive damages
  128. Our total aggregate liability is limited to the platform fees you paid us in the preceding 12 months, or $100 USD, whichever is greater

  129. NOTHING IN THIS AGREEMENT EXCLUDES OR LIMITS LIABILITY FOR: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded by law.


    11. Indemnification


    You agree to indemnify, defend, and hold harmless Zelo, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

  130. Your use of the platform
  131. Your violation of this Agreement or any law
  132. Your event content or activities
  133. Disputes with gift givers
  134. Your tax obligations or failures
  135. Any third-party claims related to your use of the platform

  136. 12. Governing Law & Dispute Resolution


    12.1 Governing Law

    This Agreement is governed by the laws of the State of Wyoming, USA, without regard to conflict of law principles.


    12.2 US Users - Arbitration

    For users in the United States, any disputes arising from this Agreement shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.


    12.3 Class Action Waiver (US)

    For US users: You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.


    12.4 EU/UK Users

    If you are a consumer in the EU or UK, you may bring claims in your local courts. Mandatory consumer protection laws of your country of residence shall apply.


    12.5 Other Jurisdictions

    Users in other jurisdictions may have additional rights under local consumer protection laws.


    13. Data Protection


    Your personal data is processed in accordance with our Privacy Policy and applicable data protection laws including:

  138. UK General Data Protection Regulation for UK residents
  139. California Consumer Privacy Act (CCPA) for California residents
  140. Privacy Act 1988 for Australian residents
  141. PIPEDA for Canadian residents

  142. 14. Modifications


  143. We may modify this Agreement at any time
  144. Material changes will be communicated via email at least 30 days before taking effect
  145. Continued use after changes take effect constitutes acceptance
  146. If you do not agree to changes, you must stop using the platform before changes take effect

  147. 15. Severability


    If any provision of this Agreement is found unenforceable or invalid, the remaining provisions will continue in full force and effect.


    16. Entire Agreement


    This Agreement, together with our Terms of Service, Privacy Policy, Cookie Policy, Refund Policy, and Acceptable Use Policy, constitutes the entire agreement between you and Zelo regarding your use of the platform as a Host.

    BY CREATING AN EVENT, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO THIS HOST AGREEMENT, OUR TERMS OF SERVICE, PRIVACY POLICY, AND OUR PAYMENT PARTNER'S ACCOUNT AGREEMENT.
