Host Agreement

This Host Agreement ("Agreement") governs your use of Zelo as an event host. By creating an event, you agree to the following terms in addition to our Terms of Service.
1. Host Eligibility
To receive gifts through Zelo, you must:
Be at least 18 years old (or the age of majority in your jurisdiction)Have the legal capacity to receive funds in your jurisdictionComplete identity verification through our payment processing partnerProvide accurate personal, identity, and banking informationNot be a resident of a country subject to international sanctionsNot be on any government sanctions or prohibited persons list2. Payment Processing
2.1 Connected Account
By using Zelo to receive funds, you agree to create a payment account with our licensed payment processing partner and accept their terms and conditions, services agreement, and privacy policy.
Your relationship with our payment partner is governed directly by their terms. Zelo acts as a platform, facilitating the connection between you and our payment partner.
2.2 Identity Verification (KYC/AML)
You must complete identity verification (Know Your Customer) process through our payment partnerThis may include providing government-issued ID, proof of address, and other documentationVerification is required to comply with anti-money laundering (AML) regulationsIncomplete or failed verification may result in delayed or restricted payoutsRequirements may vary by country and transaction volume2.3 Payout Schedule
Payouts are processed according to our payment partner's standard schedule for your countryInitial payouts may be subject to a holding period (typically 7-14 days for new accounts)After verification, payouts typically arrive in 2-7 business days depending on your countryPayout timing and availability varies by country and bank2.4 Platform Fees
Zelo charges a platform service fee on each gift received**Current fee: 4% of each gift amount**Payment processing fees are separate and additional (varies by country/method)Fees are deducted before funds are transferred to your payment accountFee structure may change with 30 days advance written notice2.5 Currency
Gifts may be received in different currenciesCurrency conversion fees may apply per our payment partner's policiesCross-border transfer fees are governed by our payment partner's policies3. Tax Responsibilities
3.1 Your Tax Obligations
YOU ARE SOLELY RESPONSIBLE FOR:
Determining your tax obligations related to gifts receivedReporting income or gifts to relevant tax authorities as required by lawPaying any taxes owed on funds received through the platformMaintaining records of all transactions for tax purposesConsulting with qualified tax professionals3.2 No Tax Advice
Zelo DOES NOT:
Provide tax, legal, or financial adviceWithhold taxes on your behalfGuarantee any particular tax treatment of funds receivedRepresent that gifts are tax-exempt in your jurisdiction3.3 Tax Information Reporting
Zelo and/or our payment partner may be required to report certain information to tax authoritiesIn the United States, our payment partner may issue Form 1099-K if you meet IRS thresholdsSimilar reporting requirements may apply in the EU, UK, Canada, Australia, and other jurisdictionsYou are responsible for understanding and complying with all applicable tax reporting requirements3.4 General Tax Information (Not Advice)
Tax treatment of gifts varies significantly by jurisdiction. For example:
In many jurisdictions, recipients of personal gifts may not owe income tax on gifts receivedGift givers may have separate reporting or gift tax obligationsBusiness or commercial use may have different tax implications**Always consult a qualified tax professional for your specific situation**4. Nature of Transactions
4.1 Personal Gifts Only
Funds received through Zelo are intended to be:
Voluntary personal gifts between individualsTransfers with no expectation of goods, services, or financial returnAssociated with personal celebrations and life events4.2 Prohibited Uses
The platform must NOT be used for:
Charitable donations or fundraising (use licensed charitable platforms)Crowdfunding or investment solicitationSecurities offerings or financial productsCommercial transactions or sales of goods/servicesMoney transmission, remittances, or payment servicesPolitical contributionsAny illegal purpose5. Prohibited Activities
As a Host, you MUST NOT:
Create events for crowdfunding, charity, or commercial purposesUse the platform for investment or securities offeringsCreate fraudulent, misleading, or fake eventsEngage in money laundering, terrorist financing, or illegal activitiesMisrepresent the nature or purpose of your eventCreate events that violate laws in your jurisdiction or guests' jurisdictionsUse the platform to evade taxes or financial regulationsSolicit gifts in exchange for goods, services, or other considerationViolate any applicable laws, regulations, or third-party rights6. Anti-Money Laundering (AML) Compliance
6.1 Your Representations
By using the platform, you represent and warrant that:
You are not on any government sanctions list or prohibited persons listThe funds you receive are not proceeds of illegal activityYou will not use the platform to launder money or finance illegal activitiesYou will cooperate with any investigations related to your accountYou will promptly report any suspicious activity to us6.2 Monitoring and Reporting
Zelo and our payment partner monitor transactions for suspicious activityWe may report suspicious activity to relevant authorities as required by lawWe may request additional information about transactions or your identityWe may delay, suspend, or refuse transactions or payouts if we suspect illegal activity7. Event Content & Conduct
7.1 Your Responsibility
You are solely responsible for:
All content posted in connection with your eventEnsuring content is accurate, truthful, and not misleadingComplying with our Acceptable Use PolicyNot infringing on third-party intellectual property rightsComplying with all applicable laws and regulations7.2 Platform Rights
Zelo reserves the right to:
Remove content that violates our policiesSuspend or terminate accounts for policy violationsReport illegal activity to authoritiesModify, suspend, or discontinue the service at any time8. Refunds, Disputes & Chargebacks
8.1 Refund Policy
Gifts are generally non-refundable once transferred to your accountRefunds may be required in cases of fraud, unauthorized transactions, or chargebacksYou may be required to return funds if a dispute is resolved against youSee our Refund Policy for full details8.2 Chargebacks
If a gift giver disputes a charge, funds may be debited from your payment accountExcessive chargebacks may result in account suspension or terminationYou agree to cooperate in chargeback investigationsYou are responsible for chargeback fees imposed by our payment partner (typically $15-25 per dispute)8.3 Reserve Funds
Our payment partner and/or Zelo may hold a reserve of funds to cover potential disputes or chargebacksReserve amounts and duration are determined based on risk assessment8.4 Dispute Resolution
Disputes between you and gift givers should be resolved directlyZelo is not responsible for disputes between hosts and guestsWe may provide transaction records upon request to assist resolution9. Account Suspension & Termination
9.1 Grounds for Suspension
We may suspend your account and hold funds if:
We suspect fraud, money laundering, or illegal activityYou violate this Agreement or our policiesRequired by law, regulation, or our payment partnerWe receive excessive disputes or chargebacksYour identity verification is incomplete or failsYou are unresponsive to requests for information9.2 Termination
Either party may terminate this Agreement at any timeUpon termination, you may withdraw available funds after any applicable holding periodWe may retain funds for up to 180 days to cover potential disputes, chargebacks, or legal claimsTermination does not release you from obligations incurred before termination10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
Zelo is provided "AS IS" without warranties of any kindWe disclaim all implied warranties including merchantability and fitness for purposeWe are not liable for payment processing delays, our payment partner's actions, or third-party servicesWe are not liable for any tax consequences of receiving fundsWe are not liable for indirect, incidental, special, consequential, or punitive damagesOur total aggregate liability is limited to the platform fees you paid us in the preceding 12 months, or $100 USD, whichever is greaterNOTHING IN THIS AGREEMENT EXCLUDES OR LIMITS LIABILITY FOR: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Zelo, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:
Your use of the platformYour violation of this Agreement or any lawYour event content or activitiesDisputes with gift giversYour tax obligations or failuresAny third-party claims related to your use of the platform12. Governing Law & Dispute Resolution
12.1 Governing Law
This Agreement is governed by the laws of the State of Wyoming, USA, without regard to conflict of law principles.
12.2 US Users - Arbitration
For users in the United States, any disputes arising from this Agreement shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.
12.3 Class Action Waiver (US)
For US users: You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.
12.4 EU/UK Users
If you are a consumer in the EU or UK, you may bring claims in your local courts. Mandatory consumer protection laws of your country of residence shall apply.
12.5 Other Jurisdictions
Users in other jurisdictions may have additional rights under local consumer protection laws.
13. Data Protection
Your personal data is processed in accordance with our Privacy Policy and applicable data protection laws including:
General Data Protection Regulation (GDPR) for EU/EEA residentsUK General Data Protection Regulation for UK residentsCalifornia Consumer Privacy Act (CCPA) for California residentsPrivacy Act 1988 for Australian residentsPIPEDA for Canadian residents14. Modifications
We may modify this Agreement at any timeMaterial changes will be communicated via email at least 30 days before taking effectContinued use after changes take effect constitutes acceptanceIf you do not agree to changes, you must stop using the platform before changes take effect15. Severability
If any provision of this Agreement is found unenforceable or invalid, the remaining provisions will continue in full force and effect.
16. Entire Agreement
This Agreement, together with our Terms of Service, Privacy Policy, Cookie Policy, Refund Policy, and Acceptable Use Policy, constitutes the entire agreement between you and Zelo regarding your use of the platform as a Host.

BY CREATING AN EVENT, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO THIS HOST AGREEMENT, OUR TERMS OF SERVICE, PRIVACY POLICY, AND OUR PAYMENT PARTNER'S ACCOUNT AGREEMENT.
