    Welcome to Zelo. By accessing or using our platform, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.


    1. Acceptance of Terms


    By creating an account or using Zelo, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use our services.


    2. Eligibility


    You must be at least 18 years old (or the age of majority in your jurisdiction) to use Zelo. By using our services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement.


    3. Description of Service


    Zelo is an event-based gifting platform that enables:

  1. **Hosts**: Create celebration events and receive monetary gifts from guests
  2. **Guests**: Send cash gifts to celebrate with event hosts

    3. **IMPORTANT DISCLAIMER**: Zelo is NOT a crowdfunding, donation, charitable, or investment platform. All transactions are personal gifts between individuals celebrating life events.


    4. Account Registration


    4.1 Account Creation

    You must provide accurate, current, and complete information during registration and keep your account information updated.


    4.2 Account Security

    You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized access.


    4.3 Account Termination

    We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or remain inactive for extended periods.


    5. Host Responsibilities


    As a Host, you agree to:

  4. Use received gifts for personal purposes only
  5. Comply with all applicable tax laws regarding received gifts
  6. Not use the platform for illegal activities, fraud, or money laundering
  7. Not misrepresent the nature or purpose of your event
  8. Complete identity verification as required by our payment processor

    9. 6. Guest Responsibilities


    As a Guest, you agree to:

  9. Only send gifts voluntarily and without expectation of financial return
  10. Use valid payment methods that you are authorized to use
  11. Understand that gifts are generally non-refundable once processed (except as required by law or stated in our Refund Policy)

    12. 7. Prohibited Activities


    You may NOT use Zelo to:

  12. Conduct any form of crowdfunding, investment, or securities offering
  13. Solicit charitable donations (use licensed charitable platforms instead)
  14. Engage in money laundering, fraud, or other illegal activities
  15. Create events with false, misleading, or fraudulent information
  16. Harass, abuse, threaten, or harm other users
  17. Violate any applicable laws or regulations
  18. Circumvent platform fees or security measures
  19. Create multiple accounts to evade restrictions

    20. 8. Payments and Fees


    8.1 Payment Processing

    All payments are processed securely through our licensed payment processing partner, a certified PCI Level 1 Service Provider. Zelo does not store credit card information.


    8.2 Platform Fees

    Zelo charges a service fee on transactions. Current fees:

  20. **Platform fee**: 4% of each gift amount
  21. **Payment processing**: Processing fees apply (varies by country and payment method)

    22. Fee details are always disclosed before each transaction.


    8.3 Payouts

    Hosts receive payouts directly to their connected bank accounts through our payment partner. Payout timing is subject to our payment partner's policies and may vary by country (typically 2-7 business days after initial verification period).


    8.4 Currency

    Transactions may be processed in various currencies. Currency conversion fees may apply per our payment partner's policies.


    9. Gift Nature Disclaimer


    **IMPORTANT**: All monetary transfers through Zelo are personal gifts between individuals. These are NOT:

  22. Investments, securities, or financial products
  23. Charitable donations or tax-deductible contributions
  24. Loans, advances, or credit arrangements
  25. Payments for goods or services
  26. Commercial transactions

    27. Guests should not expect any financial return or consideration. Hosts should consult qualified tax professionals regarding gift tax implications in their jurisdiction.


    10. Refunds and Cancellations


    10.1 Gift Refunds

    Due to the nature of personal gifts, refunds are generally not available once a gift has been processed. However:

  27. Guests may request refunds within 24 hours if the gift has not been transferred to the host
  28. Refunds may be issued in cases of proven fraud, unauthorized transactions, or technical errors
  29. Statutory consumer rights in your jurisdiction remain unaffected

    30. 10.2 Event Cancellation

    If an event is cancelled, hosts should contact support regarding any pending gifts.

    11. Intellectual Property


    All content, trademarks, logos, and intellectual property on Zelo are owned by or licensed to us. You may not use, copy, reproduce, or distribute our intellectual property without prior written permission.


    You retain ownership of content you upload but grant us a license to use, display, and distribute such content in connection with our services.


    12. Limitation of Liability


    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  30. Zelo is provided "AS IS" without warranties of any kind, express or implied
  31. We disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement
  32. We are not liable for any indirect, incidental, special, consequential, or punitive damages
  33. Our total aggregate liability is limited to the fees you paid to us in the preceding 12 months, or $100 USD, whichever is greater

    34. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any liability that cannot be excluded by law.


    13. Indemnification


    You agree to indemnify, defend, and hold harmless Zelo, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

  35. Your violation of these Terms
  36. Your violation of any third-party rights
  37. Your event content or activities

    38. 14. Dispute Resolution


    14.1 Governing Law

    These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law principles.


    14.2 Dispute Resolution - United States Users

    Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to resolve disputes individually and waive any right to participate in class action lawsuits.


    14.3 Dispute Resolution - European Union/UK Users

    If you are a consumer in the EU or UK, you may be entitled to bring claims in your local courts. Nothing in these Terms affects your statutory consumer rights.


    14.4 Dispute Resolution - Other Jurisdictions

    Users in other jurisdictions may have additional rights under local consumer protection laws. Where local law requires, those provisions shall apply.


    15. Changes to Terms


    We may update these Terms at any time. We will notify you of material changes via email or platform notification at least 30 days before changes take effect. Continued use after changes constitutes acceptance of the new Terms.


    16. Severability


    If any provision of these Terms is found unenforceable or invalid, the remaining provisions will continue in full force and effect.


    17. Entire Agreement


    These Terms, together with our Privacy Policy, Cookie Policy, Refund Policy, and Host Agreement (where applicable), constitute the entire agreement between you and Zelo.
